1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of PayXplain, including its website, browser-based tools, reports, and paid features (collectively, the “Service”).

By accessing, using, or purchasing the Service, you agree to these Terms. If you do not agree, do not use or purchase the Service.

If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to that organization.

2. About the Service

PayXplain is an independent browser-based tool designed to help users understand, organize, and review data exported from Stripe.

PayXplain is not affiliated with, endorsed by, sponsored by, or approved by Stripe, Inc. or any of its affiliates. “Stripe” is a trademark of Stripe, Inc. and is used only to describe compatibility with Stripe-exported data.

The Service may provide calculations, explanations, flags, summaries, reconciliation aids, and report outputs based on the data you provide. The Service is provided for informational and operational-support purposes only.

3. No Financial, Tax, Legal, or Accounting Advice

The Service does not provide financial, tax, accounting, legal, compliance, investment, or other professional advice.

Any calculation, explanation, classification, alert, estimate, action item, duplicate-transaction indicator, fee-rate indicator, payout explanation, reconciliation result, or report generated by the Service is informational only. You are solely responsible for reviewing and verifying all results against your Stripe Dashboard, Stripe reports, bank records, accounting records, and other authoritative sources before relying on them.

You should consult a qualified professional for financial, accounting, tax, legal, compliance, or other professional advice where appropriate.

4. Local Processing and Your Data

PayXplain is designed to process the Stripe exports, files, and financial data you select locally in your web browser.

We do not upload, receive, store, or retain the contents of your Stripe exports, uploaded files, calculations, or generated reports on our application servers.

You are solely responsible for:

  • (a) saving, exporting, and backing up your source files and generated reports;
  • (b) ensuring that you have all necessary rights, permissions, notices, consents, and legal bases to process any data you use with the Service, including data relating to your customers, transactions, employees, or business operations;
  • (c) verifying the accuracy, completeness, and suitability of all inputs and outputs; and
  • (d) protecting your device, browser, local storage, exported files, and any reports you download or share.

Clearing browser data, using private or incognito browsing, changing devices or browsers, disabling local storage, or experiencing a device or browser failure may remove locally stored settings or access information. To the maximum extent permitted by law, PayXplain is not responsible for resulting loss of locally stored data, files, reports, settings, or access.

5. Free Preview and Paid Full Reports

The Service may allow you to view a free preview, summary, or limited version of a report before purchasing paid features.

Paid features may include access to a full report, additional explanations, expanded reconciliation details, downloadable outputs, or other functionality described on the applicable purchase page.

The free preview is provided to help you evaluate the Service before purchase. The specific content, format, calculations, and availability of the preview and paid report may vary based on the file data available and the current version of the Service.

6. Payments and One-Time Purchases

Paid features are offered through a one-time payment unless the applicable purchase page expressly states otherwise.

Payments are processed by PayPal. By completing a purchase, you agree to PayPal’s applicable terms, policies, and payment procedures.

We do not receive or store your full payment-card number, bank-account credentials, or PayPal password.

After payment is successfully confirmed, paid access or the full digital report is intended to be made available immediately.

Prices, currencies, taxes, and any applicable charges will be displayed before you complete payment. You are responsible for any taxes, duties, or charges that may apply to your purchase, except where applicable law requires us to collect or remit them.

7. Refunds

Refunds are governed by the PayXplain Refund Policy, which is incorporated into these Terms by reference.

Because paid reports and paid features are digital products made available immediately after purchase, purchases are generally non-refundable after the full report or paid feature has been generated or made available, except where:

  • (a) you were charged more than once for the same purchase;
  • (b) a material technical issue caused by PayXplain prevents the paid report or paid feature from being generated, accessed, or used in a supported browser, and we cannot resolve the issue within a reasonable time; or
  • (c) a refund is required by applicable law.

Nothing in these Terms or the Refund Policy limits any consumer rights that cannot legally be excluded or waived.

8. Immediate Digital Delivery and Withdrawal Rights

Where required by applicable law, including for certain consumers in the European Economic Area, the United Kingdom, or other jurisdictions with similar rules, you may be asked before payment to expressly request immediate delivery of paid digital content or paid digital services.

Where you provide the required express consent and acknowledgement, you understand that you may lose any applicable statutory right to withdraw from the purchase once delivery or performance of the paid digital content or service begins.

If applicable law does not permit a right of withdrawal to be excluded or waived, your statutory rights remain unaffected.

9. Supported Browsers and Technical Requirements

The Service is intended for use on current versions of commonly used modern desktop browsers, including Chrome, Edge, Firefox, and Safari.

The Service may not function correctly in private or incognito browsing modes, unsupported or outdated browsers, embedded in-app browsers, browsers with JavaScript or local storage disabled, devices with insufficient memory, or environments affected by browser extensions, security software, network restrictions, or user configuration.

Before purchasing, you are responsible for using the free preview where available and confirming that the Service functions appropriately in your environment.

10. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms.

You may not:

  • (a) use the Service in violation of applicable laws, regulations, contractual obligations, or third-party rights;
  • (b) upload, process, or use data that you are not authorized to access or process;
  • (c) interfere with, disrupt, overload, damage, or attempt to gain unauthorized access to the Service or related systems;
  • (d) bypass or attempt to bypass payment, access, licensing, or usage controls;
  • (e) use the Service to create, offer, operate, or support a substantially similar competing product or service using copied or extracted Service materials;
  • (f) copy, reproduce, modify, adapt, distribute, sell, lease, sublicense, publish, or commercially exploit the Service or any portion of it except as expressly permitted by these Terms;
  • (g) remove, obscure, or alter proprietary notices, branding, trademarks, or copyright notices; or
  • (h) introduce malware, harmful code, automated scraping, bots, or other tools intended to disrupt the Service or extract its content at scale.

11. License and Intellectual Property

Subject to your compliance with these Terms and successful payment of any applicable fee, PayXplain grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the paid features of the Service for your own internal personal or business purposes.

Unless a purchase page expressly states otherwise, a purchase permits use by one individual or one business user and does not permit resale, sublicensing, redistribution, public sharing, or providing the Service to third parties as a service bureau, hosted service, or competing service.

PayXplain and its website, software, interface, designs, text, documentation, report formats, methodologies, rules, branding, logos, and other content are owned by PayXplain or its licensors and are protected by applicable intellectual-property laws.

You retain ownership of the files and data you select for local processing, as well as reports generated from your own data, subject to PayXplain’s ownership of the Service, its underlying software, report formats, methodologies, and other intellectual property.

Except to the extent a restriction is prohibited by applicable law, you may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of the Service.

12. Updates, Changes, and Availability

We may modify, update, suspend, remove, or discontinue any part of the Service, including features, report formats, supported file structures, calculations, compatibility, or access methods.

We may release updates to improve security, fix errors, adapt to changes in Stripe exports or browser environments, or improve the Service.

We do not guarantee that any particular feature, report format, calculation method, or version of the Service will remain available indefinitely. Where practicable, we will provide reasonable notice of material changes that substantially affect paid functionality.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.”

PayXplain makes no warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including any warranties of accuracy, completeness, reliability, timeliness, merchantability, fitness for a particular purpose, non-infringement, availability, security, error-free operation, uninterrupted operation, or compatibility with every Stripe export format, device, browser, or configuration.

We do not guarantee that the Service will identify every issue, duplicate, discrepancy, fee, payout condition, missing transaction, reconciliation difference, or data-quality problem. You remain responsible for verifying all outputs using authoritative records.

14. Limitation of Liability

To the maximum extent permitted by applicable law, PayXplain and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, funds, records, or use, arising out of or related to your access to or use of, or inability to access or use, the Service.

To the maximum extent permitted by applicable law, the total liability of PayXplain and its operator for all claims arising out of or relating to the Service will not exceed the amount you paid to PayXplain for the specific paid feature or report giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

15. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PayXplain and its operator from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • (a) your use of the Service;
  • (b) your violation of these Terms;
  • (c) your processing, use, disclosure, or handling of data through the Service; or
  • (d) your violation of any law, regulation, or third-party right.

16. Privacy

Our collection and handling of limited personal information, including purchase-related information and support communications, are described in the PayXplain Privacy Policy.

By using the Service, you acknowledge that files and reports processed locally in your browser are not uploaded to or retained by PayXplain, except where you independently choose to provide information to us, such as in a support request.

17. Termination

You may stop using the Service at any time.

We may suspend or terminate your access to paid features if we reasonably believe that you have violated these Terms, attempted fraud, abused a refund or payment-dispute process, bypassed payment controls, infringed intellectual-property rights, or used the Service unlawfully.

Termination does not affect rights or obligations that by their nature should continue after termination, including intellectual-property rights, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

18. Governing Law and Disputes

These Terms are governed by the laws of the applicable jurisdiction, excluding its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the applicable jurisdiction, unless applicable law gives you the right to bring a claim in another court or preserves mandatory consumer-protection rights.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page.

Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms, to the extent permitted by applicable law. If you do not agree to updated Terms, you must stop using the Service.
